Swiss NDA: template, fixed fee or bespoke drafting?

A suitable free starting document can work for a straightforward discussion. Individual drafting becomes more useful when several parties, unusual information or an existing counterparty document change the assumptions.

By Founderly · Updated . We offer contract services and include our own service in these guides. This is a comparison of published offers, not an independent service test.

Our scoped offer

Founderly publishes four per-contract options. We confirm which one fits your document, the deliverables and the tax treatment in the quote before work begins.

Simple review CHF 250
Simple review, up to three pages. Confirm the document fits this scope.
Standard review CHF 500
Standard review, three to twenty-five pages, with redlines, one internal revision and a negotiation guide.
Negotiation CHF 1'000
Negotiation support. Agree the document, counterpart contact and completion point before starting.
Custom drafting CHF 2'000
Custom drafting. Smaller drafting projects can receive a separate scoped offer.

The three-page boundary and complex documents are confirmed during scoping. See the current packages and inclusions.

Start with the intended exchange

Explain who will disclose information, why it is being shared and what the recipient needs to do with it. Distinguish a one-way discussion from a mutual exchange. Include the practical role of advisers, contractors and other recipients in the brief.

A confidentiality document does not itself set the full commercial terms of a pilot, development project or IP transfer. If work is starting, check whether you also need a separate agreement for the services and resulting deliverables.

Buy review when the document is already on the table

If a prospective partner supplies an NDA, another blank template may not help. A scoped review can examine the actual proposed terms and suggest changes. Ask whether the fee includes those changes and a response to the partner's comments.

For any fixed-fee service, confirm page limits, languages, VAT, revisions and the final format. The quoted prices here are useful entry points, not promises that every confidentiality arrangement fits a basic package.

A practical example

A product demo before a commercial pilot

For an exploratory demo, begin by documenting the information you intend to share. If the discussion becomes a development pilot with customer data and jointly created materials, expand the brief. Ask for the confidentiality and project documents to be checked together rather than assuming the NDA resolves the entire collaboration.

Ask before you choose

  1. Who shares information and who needs access?
  2. Is this only a discussion or is work already starting?
  3. Does the fee cover review of the other party's NDA and a revised draft?
